TERMS & CONDITIONS

1. Preamble & Acceptance

Welcome to SageRank (the "Platform" or "Service"), an advanced digital authority optimization, search index audit, and vulnerability diagnostics suite operated under the property of AURATEKK ("AURATEKK", "we", "us", or "our"). These Terms & Conditions constitute a legally binding agreement between AURATEKK and the user ("User", "Client", "you", or "your") accessing and utilizing our sites located at sagerank.io, app.sagerank.io, and related APIs.

By registering an account, making a purchase, initiating domain audits, executing scanning container crons, or integrating our third-party endpoints, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not accept these terms in their entirety, you must immediately cease all access and use of the Platform.

2. Eligibility & Account Registration

To access our optimization engines and security matrix tools, you must register a SageRank account. By registering, you warrant and represent that:

• You are at least eighteen (18) years of age, or have reached the legal age of majority in your jurisdiction of residence, and possess the full legal capacity to enter into a binding contract.
• If you are registering an account on behalf of a corporate entity, partnership, or organization, you warrant that you are an authorized representative with the explicit legal authority to bind that entity to these Terms.
• You will provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials (including passwords and multi-factor authentication secrets) and assume liability for all activities that occur under your account.
• You will maintain only one active account per business entity. Multi-account creation to bypass free tier limits or scanner rate thresholds constitutes a material breach and will result in immediate suspension.

3. Free Tier Terms

SageRank provides new registrants access to a complimentary Free Tier of our services. The Free Tier includes:

• A maximum allocation of three (3) complimentary domain audits or scan diagnostics.
• Access to basic SEO, AEO, and GEO scoring metrics. Specialized offensive security modules and continuous cron monitoring are excluded from the Free Tier.
• No credit card registration is required to initialize a free tier account. Once the 3 complimentary scans are exhausted, your account's scanning engines will be paused until you upgrade to a paid subscription plan.
• Free Tier conversion terms: If you upgrade to a paid plan, your paid subscription billing period commences immediately upon receipt of payment, and any remaining complimentary scans from the Free Tier are terminated.

4. Subscription Plans & Pricing

SageRank provides specialized professional and enterprise-grade authority monitoring tools under two primary monthly subscription tiers:

• SAGE Pro Plan: Billed at $79 per month. Provides full access to our automated SEO engines, AEO schema libraries, and GEO citation monitoring tools.
• SAGE Sentinel Plan: Billed at $199 per month. Includes all Pro features plus advanced continuous monitoring crons, active Security Matrix penetration containers, and custom API query routing.
• Billing Gateways: Payments are processed automatically through Stripe or via Paddle (acting as our Merchant of Record). All charges are displayed and billed in US Dollars (USD), subject to local tax adjustments (VAT, GST, sales tax) which are automatically calculated and remitted by Paddle based on your location.
• Price Adjustments: We reserve the right to modify pricing for any subscription tier. We will provide at least thirty (30) days' advance notice of any price changes via email and in-app banners. Continued use of the platform after the change constitutes acceptance of the new pricing.

5. Acceptable Use & Domain Scan Authorization

Our platform includes active diagnostics tools (the "Security Matrix") which execute network probes, port mapping, and signature evaluations using tools like Nmap, Subfinder, and Nuclei inside isolated environments.

Due to the active scanning nature of these tools, you must strictly comply with the following acceptable use regulations:

• Scan Authorization: You are strictly prohibited from initiating active vulnerability scans or network probes against target domains or networks that you do not legally own, lease, or operate, or for which you do not possess explicit, written authorization from the owner.
• Input Sanitization Whitelist: To prevent command injection attacks, the scanning gateway restricts domain inputs. All target URLs are parsed using a strict character whitelist regex: /^[a-zA-Z0-9.-]+$/. Any query containing spaces, semi-colons, backticks, or execution symbols (such as &, ;, |, $) is blocked. You agree not to attempt to bypass or obfuscate inputs to bypass this safety filter.
• No Weaponization: You agree to use the security matrix results purely for defensive authority hardening and security posture remediation. You will not weaponize the diagnostic reports, exploit discovered vulnerabilities, or execute malicious attacks against any entity.
• Rate Gating: Bypassing api rate limits, manipulating HTTP headers, or exploiting server configurations to run parallel scans beyond your subscription tier limits is strictly prohibited.

6. Intellectual Property Rights

All proprietary code, database designs (including Postgres schemas and indexing configurations), Nginx edge routing scripts, the S.A.G.E. Framework scoring algorithms, user interface layouts (including our signature dark glassmorphic design), trademark logs, and generated optimization playbooks are the exclusive intellectual property of SageRank and its parent entity, AURATEKK.

You are granted a limited, non-exclusive, non-transferable, revocable license to access the Platform for your internal business operations in accordance with your subscription plan. You may not reverse-engineer, decompile, crawl, modify, distribute, copy, or create derivative works based on any portion of our codebase or visual style. If you submit suggestions or feedback to SageRank, you grant us an irrevocable, perpetual, royalty-free, worldwide license to implement and use such feedback without compensation to you.

7. Scraper & Bot Protection Policy

SageRank deploys active scraper mitigations (ShieldAI) to protect our assets, search analysis data, and user directories. The following activities are strictly prohibited:

• Utilizing web crawlers, scrapers, data-mining bots, or headless browser scripts to extract data from SageRank's private dashboard views, pricing templates, user profile databases, or LLM citation indices.
• Attempting to bypass our DDoS protection layers, Cloudflare firewalls, or browser validation tests.
• Violations of this section constitute a material breach of these Terms and violate the Computer Fraud and Abuse Act (CFAA) in the United States, the Computer Misuse Act 1990 in the United Kingdom, and equivalent regional cybercrime laws. We reserve the right to block offending IP addresses, terminate accounts, and pursue statutory damages.

8. Third-Party Services & Integrations

SageRank integrates with third-party sub-processors, application programming interfaces (APIs), and services to deliver platform logic. These include Stripe (payment processing), Paddle (Merchant of Record billing), Google OAuth (identity management), Cloudflare (content delivery and web security), and database hosting providers.

You acknowledge that your interactions with these third-party services are subject to their respective terms of service and privacy policies. SageRank is not responsible or liable for any downtime, service changes, account suspensions, or data practices of these independent third-party vendors.

9. Cookie Policy

We use session-based and functional cookies to manage platform authentication, secure CSRF tokens, and maintain user preferences. These cookies do not track you across external websites and are not used for third-party target advertising. You can control cookie preferences through your web browser settings; however, disabling strictly necessary cookies may degrade platform performance or render secure dashboard sections inaccessible.

10. Electronic Communications Consent

In accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and international equivalent electronic transaction laws, you consent to receive all communications, agreements, invoices, tax documents, and notices from SageRank electronically. We will deliver these communications to the email address registered to your account or via notifications inside your dashboard. You may opt-out of marketing communications at any time via the unsubscribe links provided; however, you cannot opt-out of transactional or billing notices.

11. Subscription & Account Management

Paid subscriptions automatically renew at the end of each monthly billing cycle. You authorize us (via Stripe) or Paddle to charge the applicable subscription fee to your payment method on file on a recurring monthly basis until you cancel. You are responsible for ensuring that your payment method remains valid and funded. If a recurring charge fails, we reserve the right to suspend platform access after seven (7) days of consecutive payment failures.

12. Cancellation & Access After Cancellation

You may cancel your subscription at any time. Upon cancellation, your subscription remains active, and you retain full access to your subscription tier features, until the end of your current paid billing period. We do not provide prorated refunds or credits for the remaining days of an active cycle. Once the cycle concludes, your account is automatically downgraded to the Free Tier. 13. Warranty Disclaimer

SAGERANK AND ITS ENTIRE PRODUCT SUITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGERANK, AURATEKK, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Specifically, we make no warranties that: (i) our scanning container runs will detect every security vulnerability or misconfiguration; (ii) our SEO/AEO/GEO diagnostic recommendations will result in specific search ranking placements or inclusion in LLM generative search summaries; or (iii) the platform will operate without interruption or error.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAGERANK, AURATEKK, OR THEIR SUB-PROCESSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA LOSS, LOSS OF REVENUE, BRAND DE-INDEXATION, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING UNDER THESE TERMS OR FROM THE USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY, SHALL BE CONFINED TO AND CAPPED AT THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO SAGERANK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. THIS LIMITATION DOES NOT EXCLUDE OR LIMIT LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE REGIONAL LAWS PROHIBIT SUCH LIMITATIONS.

15. Indemnification

You agree to defend, indemnify, and hold harmless SageRank, AURATEKK, and their respective directors, officers, employees, and sub-processors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your misuse of the platform; (iii) any unauthorized domain scans executed under your account credentials; or (iv) any third-party claims or regulatory fines resulting from target domain scans executed without proper authorization.

16. COPPA — Under-13 Prohibition

SageRank is a business-to-business platform and is not directed at or intended for children under the age of thirteen (13) in the United States, or under sixteen (16) in the European Union and United Kingdom. In compliance with the Children's Online Privacy Protection Act (COPPA) and GDPR, we do not knowingly collect or process personal information from minors. If a parent or guardian becomes aware that a child has provided us with personal data, they must contact us at privacy@sagerank.io, and we will delete the data within 48 hours.

17. Export Controls & Sanctions Compliance

You warrant that you, your affiliates, and your target scan domains are not subject to economic sanctions or export controls administered by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or the government of the United Kingdom. You agree not to access, export, or re-export the platform or its security matrices into any OFAC-sanctioned countries (including, but not limited to, Iran, North Korea, Russia, Syria, and Cuba) or to restricted individuals listed on any government denial list.

18. Termination by SageRank

We reserve the right, without liability and at our sole discretion, to suspend or terminate your account, platform access, and active monitoring crons immediately and without prior notice in the event of: (i) a material breach of these Terms; (ii) fraudulent billing activities, chargebacks, or unpaid invoice balances; (iii) executing unauthorized vulnerability scans against third-party networks; (iv) abusive behavior toward our staff; or (v) actions that threaten the security, stability, or integrity of our host servers. Suspended or terminated accounts are not entitled to refunds.

19. Modifications to Terms

We may modify these Terms & Conditions at any time. If we make material modifications, we will notify you at least thirty (30) days in advance by sending an email to your registered address and displaying a notice within the platform dashboard. The "Last Updated" date at the top of these terms will reflect the date of the revision. Your continued use of the platform after the 30-day notice period constitutes binding acceptance of the updated terms.

20. Force Majeure

Neither AURATEKK nor SageRank shall be held liable or responsible for any failure, delay, or interruption in platform performance resulting from circumstances beyond our reasonable control. These include, but are not limited to, acts of God, cloud hosting infrastructure outages (such as AWS, Cloudflare, or Supabase downtime), third-party LLM API failures (Google, OpenAI, Anthropic), telecommunications disruptions, cyber warfare, hacking attacks, government mandates, strikes, or processor downtime (Stripe/Paddle).

21. Severability

If any provision of these Terms & Conditions is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

22. Waiver

No waiver of any term or condition of these Terms by SageRank shall be deemed a further or continuing waiver of such term or of any other term, and our failure to assert or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

23. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, User Agreement, and Refund Policy, constitute the entire, exclusive agreement between AURATEKK and you regarding your use of SageRank, and supersede all prior or contemporaneous oral or written understandings, agreements, or communications.

24. Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms to any other party without our prior written consent. SageRank and AURATEKK may assign, transfer, or delegate their rights and obligations under these Terms, in whole or in part, to a successor entity, affiliate, or purchaser of our assets without your consent.

25. Governing Law & Jurisdiction by Region

To ensure fair compliance and dispute management globally, these Terms are governed by specific laws based on your corporate domicile or geographic location. All disputes will be settled in the following jurisdictions:

• United States (US): Governed by the laws of the State of Delaware, without regard to conflicts of law rules. Any dispute will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware, in accordance with its Commercial Arbitration Rules.
• European Union & EEA: Governed by the laws of Ireland. Contractual disputes will be resolved exclusively in the courts of Dublin, Ireland. The Irish Data Protection Commission (DPC) serves as the supervisory authority.
• United Kingdom (UK): Governed by the laws of England and Wales. The courts of London, England, shall have exclusive jurisdiction over all claims.
• India: Governed by the laws of the Republic of India. Any dispute will be settled via binding arbitration in New Delhi in accordance with the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be English.
• UAE & GCC: Governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. All disputes will be referred to and resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in Dubai, UAE.
• Australia: Governed by the laws of New South Wales, subject to mandatory consumer protections under the Australian Consumer Law (ACL). Disputes will be resolved in the courts of Sydney.
• Canada: Governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be referred to the courts of Toronto, Ontario.
